Teresita J. Herbosa is the chairwoman of the Securities and Exchange Commission (Philippines). She was appointed to the SEC by President Benigno Aquino III and took office on April 29, 2011.

Herbosa is not like Sereno and Carpio-Morales. Far from it. Hugas kamay sa takot kay Duterte.

Well, it only shows na di lahat ng women appointee ni Pnoy ay may bayag. De Lima, Morales, Sereno, Kim Henares. Licuanan (?). :D

Trabaho ng SEC ang magsabi kung anong mali sa registration, hindi yung nag-a-apply.

Sasabihin lang kasi ng applicant ay "to the best of my knowledge". SEC ang mag iinterpret kung may mali sa PDRs.

"Whoever didn't get what they wanted from us, maybe they wanted us to say the PDRs were legal, then maybe they have their own agenda," Herbosa said on Thursday. "They have to resort to things like that in order to divert people's attention to what is the real issue."

The SEC revoked the company's business registration in a Jan. 11 decision that was released to the media on Monday.

The agency said Rappler engaged in fraud and circumvented the constitutional ban on foreign ownership in media by accepting over $1 million (around P50 million) from a foreign investor, Omidyar Network, in the form of Philippine Depositary Receipts or PDRs.

A PDR is a financial instrument that foreign entities can buy into for financial returns in a local company, but not in the form of dividends, which are tied to ownership.

Ressa said on Tuesday that the Palace had a hand in the SEC decision on Rappler, which has been highly critical of the Duterte administration.

Media and human rights groups slammed the decision, saying that it violates the right to a free press.

President Rodrigo Duterte on Tuesday denied involvement in the SEC decision, insisting that Rappler had foreign owners.

Herbosa said the SEC started looking into Rappler's ownership structure in 2016 after the company issued public statements about its investors.

"And I think that's when the Solicitor General's office had to refer it to us because the PDR being a security is our jurisdiction," she said.


Herbosa also said Rappler may continue to operate for now as its decision is not yet executory. The online news agency may appeal the SEC ruling before the 15-day deadline that runs out on January 27. As such, she said the only way Rappler will be forced shut down is if the courts uphold the SEC's ruling.
